AGCONN is operated by AGCONN, a California Public Benefit Corporation. This document reflects our current operating practices and is updated as those practices evolve; it has not been independently reviewed by outside counsel. For specific legal questions about your situation, consult a qualified attorney.

01 · Eligibility

You must be 18 or older to use AGCONN as a worker, employer, or training organization. Workers must have authorization to work in the United States; AGCONN does not verify status (it's not our role) but employers are responsible for E-Verify or I-9 compliance on hire. Employers must hold any license required by their role — for Farm Labor Contractors, an active license issued by the California Division of Labor Standards Enforcement (DLSE). Training organizations must hold any license or accreditation required to operate their programs. By creating an account, you represent that everything above is true and that any business you sign up represents is real and legally able to enter into agreements.

02 · Your account

You're responsible for the accuracy of the information you provide and for keeping your login credentials secure. Notify us promptly at [email protected] if you suspect unauthorized access. By creating an account, you agree to receive transactional SMS, email, and push notifications related to account activity (sign-in codes, application status updates, certificate issuance, billing receipts) — these are required for the service to function and you cannot opt out without closing your account. Marketing communications require separate opt-in and can be turned off at any time. 03 · Acceptable use

You agree not to: post false information; impersonate another person or business; harass, threaten, or discriminate against other users; scrape, crawl, or harvest platform data except as expressly permitted by our published API terms; reverse-engineer, decompile, or disassemble the service; attempt to bypass security controls, authentication, or rate limits; introduce malware, viruses, or any disabling code; or use AGCONN for any purpose prohibited by law, including unlawful discrimination in hiring on the basis of national origin, language, or immigration status. Violations result in suspension; severe or repeated violations result in permanent ban and may be reported to law enforcement.

04 · Your content

You retain all rights to the content you submit — your resume, your job postings, your training catalog, your messages. You grant AGCONN a worldwide, non-exclusive, royalty-free license to host, store, reproduce, translate (including AI-assisted translation between English and Spanish), and display your content solely as needed to operate the platform and provide the service to you and to the users you've chosen to share with (employers you applied to, training programs you enrolled in). This license ends when you delete the content or close your account, except for backups retained for the period described in the privacy policy and aggregated, de-identified analytics. We do not sell or sublicense your content to anyone. You are solely responsible for what you submit and represent that you have the right to submit it and that it does not violate any law or third-party right.

05 · Payment (employers)

Free plan: no charges, ever. Pro and Enterprise plans: monthly or yearly, billed in advance via Stripe. Prices are in U.S. dollars and exclusive of any applicable taxes, which we add at checkout where required. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds. Failed payments are retried for up to 14 days; persistent non-payment results in downgrade to the Free plan. We may change pricing with at least 30 days' written notice to active subscribers; if you don't accept the new price, cancel before the effective date. Disputes about specific charges should be raised at [email protected] within 60 days of the charge — chargebacks filed without first contacting us may result in account suspension. Workers never pay anything to use AGCONN — if any third party asks you to pay to use AGCONN, that is fraud; report it to [email protected].

06 · Intellectual property and copyright

AGCONN, the AGCONN name and logo, the Tierra brand system, and the platform software are owned by AGCONN and protected by United States and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform for its intended purpose during the time you have an account in good standing. Any feedback or suggestions you send us are non-confidential, and you grant AGCONN a perpetual, royalty-free license to use them. We respect copyright. If you believe content posted on AGCONN infringes your copyright, send a notice meeting the requirements of 17 U.S.C. §512(c)(3) to our designated agent at [email protected] (subject line: Copyright Notice). We will respond promptly, remove or disable access to infringing content where appropriate, and forward the notice to the user who posted it; that user may submit a counter-notice. Repeat infringers will have their accounts terminated.

07 · Termination

You can close your account at any time from your account settings or by emailing [email protected]. We may suspend or terminate your access if you materially breach these terms, if your continued use creates legal or safety risk for AGCONN or other users, or if your account has been inactive for 24 months (after a 30-day warning email). Where practical, we give written notice and a chance to cure before suspending; for fraud, security threats, or court orders, we may suspend immediately. On termination, your obligations and our rights that by their nature should survive — payment for services already provided, intellectual property rights, the content license you granted in the section above (only as needed to honor in-flight transactions and required record retention), indemnification, liability limits, and dispute resolution — continue to apply. Data deletion timelines on termination are described in the privacy policy.

08 · Liability

AGCONN is provided on an 'as-is' and 'as-available' basis, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except those that cannot be disclaimed under applicable law. We do not guarantee specific job placements, training completions, employment outcomes, or any minimum availability of the service. Verification of FLC licenses uses publicly available state data and may have lag. We are not party to your employment relationship — that is between you and your employer. To the maximum extent permitted by law, AGCONN's total liability for any claim related to the service is capped at the greater of one hundred U.S. dollars (US $100) or the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill. Some jurisdictions do not allow these limits; in those places our liability is limited to the smallest amount the law permits. You agree to indemnify and hold AGCONN harmless against third-party claims, damages, and reasonable attorneys' fees arising from your content, your conduct on the platform, or your breach of these terms — except to the extent the claim is caused by AGCONN's own negligence or willful misconduct.

09 · Disputes and governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. We encourage you to contact us first at [email protected] — most disputes are resolved by email. If we cannot resolve a dispute informally within 30 days, the parties agree to attempt good-faith mediation in Tulare County, California before filing suit. Either party may bring qualifying claims in California small claims court. For all other claims, the state and federal courts located in Tulare County, California have exclusive jurisdiction, and you and AGCONN submit to that jurisdiction. We do not require arbitration. We do not waive your right to a jury trial. We do not require you to bring claims only individually — you retain whatever rights you have under applicable law to participate in class or representative actions. Nothing in these terms prevents you from filing a complaint with a government agency, including the California Civil Rights Department, the California Labor Commissioner's Office, the U.S. Equal Employment Opportunity Commission, or the U.S. Department of Labor.

10 · Changes to these terms

When we update these terms, we change the 'last updated' date at the top. For material changes — new fees, new restrictions on use, or significant changes to liability or dispute resolution — we notify active account holders by email and SMS at least 30 days before the change takes effect, and post a notice in-product. Continuing to use AGCONN after the effective date means you accept the updated terms; if you don't accept them, close your account before that date and we will treat the closure as effective on the date you submitted it.

11 · General provisions

These terms, together with the privacy policy and any plan-specific addenda, are the entire agreement between you and AGCONN regarding the service and supersede any prior discussions. If any provision is held unenforceable, the rest remains in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law. Our failure to enforce a provision is not a waiver of that provision or any other. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, sale of assets, or to a successor entity, provided that successor agrees to be bound. We are not liable for delays or failures caused by events beyond our reasonable control — natural disasters, fires, strikes, war, terrorism, pandemics, government action, internet or utility outages, or denial-of-service attacks — provided we use reasonable efforts to resume service. The contracting entity is AGCONN, a California Public Benefit Corporation. Notices to AGCONN must be sent to [email protected]; notices to you may be sent by email, SMS, or in-product banner using the contact information on your account, and are deemed received when sent. The English version of these terms is the controlling version in any conflict of interpretation; the Spanish version is provided for your convenience.
